Reflexed Terms of Service (U.S.-only launch)

Effective date: October 28, 2025
Entity: Reflexed, LLC (Delaware)

These Terms are a legally binding agreement between you and Reflexed, LLC (“Reflexed,” “we,” “us,” “our”). They govern your access to and use of Reflexed’s marketplace, sites, apps, and related services (“Services”). By using the Services, you accept these Terms and the policies incorporated by reference (Privacy Policy, Buyer Guarantee, Seller Standards, Prohibited Items, Fees). These Terms form the entire agreement between you and Reflexed.

1) Definitions

“Buyer” = a user purchasing items. “Seller” = a user listing items. “Order” = a purchase confirmed in Reflexed. “INAD” = Item Not As Described. “Ship-by date” = the latest date you must ship. “Claim window” = seven (7) days after delivery or pickup to open a claim.

2) Eligibility; U.S. launch scope

You must be 18+ and able to contract. The Services are offered only to U.S. residents for shipments to U.S. addresses at launch. You may use the Services only where lawful.

3) Accounts & security

You are responsible for all activity under your account. Keep credentials confidential. We may require identity/KYC verification before payouts or continued access. No account sale/transfer without our written consent.

4) Marketplace role; title; carrier status

Reflexed provides a marketplace platform. Sellers are the sellers of record and are responsible for legal compliance and fulfillment. Reflexed is not the merchant of record, does not take title to items, is not a bailee, and is not a carrier.

5) Listings, offers, and sales

Listings must be truthful and accurate. Disclose material defects and prior repairs. Counterfeits, stolen goods, recalled items, items with removed/altered serials, and other prohibited items are not allowed. Off-platform fee circumvention is prohibited. When an Order is confirmed, a binding contract forms; Sellers must meet the Ship-by date or document local pickup.

6) Payments, fees, reserves, and setoffs

(a) Processor. Marketplace payments are provided through Stripe Connect. By selling on Reflexed, you agree to the Stripe Connected Account Agreement and Stripe Services Agreement (together, “Stripe Terms”), which are incorporated by reference. Stripe is an intended third-party beneficiary of this section and may enforce it.

(b) Funds in transit. Funds are held and settled by Stripe and its financial partners per the Stripe Terms; settlement funds may be held in pooled accounts pending disbursement.

(c) Reserves/holds; negative balances. We or Stripe may place reserves/holds, delay or reverse payouts, offset, or debit bank accounts or cards to cover refunds, chargebacks, disputes, fees, or other amounts you owe.

(d) Fees. Platform fees and optional services (e.g., Instant Payouts) are published on our Fees page and may change with posted notice.

(e) Authorization. You authorize Reflexed and Stripe to verify identity, underwrite your account, and debit/credit your linked bank account or payment method as permitted by the Stripe Terms.

7) Taxes and reporting

You are responsible for applicable taxes unless the law requires Reflexed/Stripe to collect and remit. Form 1099-K: For tax year 2025, the federal reporting threshold for third-party settlement organizations is over $20,000 in payments and more than 200 transactions; a TPSO may still issue a Form 1099-K below that threshold. You agree to provide accurate tax information and accept electronic delivery of tax forms.

8) Shipping, delivery, and local pickup

(a) Ship-by. Sellers must ship within three (3) business days after an order is cleared for shipment and upload a valid tracking number.

(b) Packaging. Pack items securely; you are responsible for transit damage caused by inadequate packing. Keep evidence: photos of the packed item and label, carrier receipt.

(c) Signature confirmation. Signature is required for any order with a total (item + shipping + tax) of $750 or more. Failure to obtain signature voids Seller Protection for INR (item not received) claims.

(d) Local pickup. Use the platform handoff code or QR and upload proof of successful handoff in the order thread. Absent proof, Seller Protection may not apply.

9) Buyer Guarantee (7-day claims)

Buyers may open a claim within 7 days of delivery/pickup for INAD, damaged-in-transit, or not received. We may require photos, video, serials/EXIF, packaging shots, and carrier or police documentation. If approved, remedies may include refund, replacement, or other resolution under the Buyer Guarantee. Returns must use platform labels unless we instruct otherwise. For INAD/damage, return first, then refund after inspection. Partial refunds leaving the item with the buyer require in-app consent by both parties.

10) Returns, cancellations, and refunds

Buyer’s remorse returns are allowed only if the Seller disclosed a return policy in the listing. Seller-initiated cancellations should be rare and may affect Seller Standards. Refunds must be processed in-app. We may deduct or reverse payouts to complete refunds.

11) Prohibited & restricted items

The Prohibited Items list is incorporated (counterfeits; stolen goods; recalled/hazardous items; removed/altered serials; other unlawful items). Shipping-restricted hazmat (e.g., lithium batteries) must comply with carrier/regulatory rules.

12) Ratings, reviews, and community conduct

Reviews must reflect genuine post-transaction experiences. No coercion, incentives, shill accounts, or manipulation. Harassment, threats, hate speech, and abusive conduct are prohibited. We may remove reviews or content and take enforcement actions for policy or legal violations.

13) User content & IP license

You retain ownership of the content you submit. You grant Reflexed a non-exclusive, worldwide, royalty-free, sublicensable license to host, reproduce, adapt, and publicly display your content to operate, improve, and promote the Services. To the extent permitted by law, you waive and agree not to assert moral rights for listing photos solely to allow cropping/resizing and promotional use.

14) APIs & integrations

Use authorized credentials only, comply with rate limits and scopes, and keep keys confidential. Sandbox credentials are for testing only. We may suspend or revoke API access for misuse.

15) Third-party services and links

Third-party sites/services are provided for convenience. We do not control or endorse them and are not responsible for their content or terms. Your use is at your risk.

16) Enforcement; holds; termination

We may place reserves/holds, delay or withhold payouts, delist items, freeze inventory, limit features, suspend, or terminate accounts to protect users, manage risk, comply with law, or enforce policies.

17) Electronic communications & E-SIGN consent

You consent to receive contracts, disclosures, and notices electronically and to transact electronically. Hardware/Software: a current web browser, PDF reader, and the ability to download/print records. You can withdraw consent by closing your account; withdrawal may limit use of the Services.

18) DMCA; copyright policy

We respond to notices under 17 U.S.C. §512. Reflexed maintains a public DMCA agent listing on its site and a matching registration in the U.S. Copyright Office DMCA Directory. Use those channels for notices and counter-notices. We terminate repeat infringers in appropriate circumstances.

19) Disclaimers

The Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted/error-free operation.

20) Liability limits

To the maximum extent permitted by law, Reflexed is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or lost profits, revenue, data, or goodwill. Our aggregate liability is capped at the greater of $100 or the amounts you paid to Reflexed in the prior 12 months.

21) Indemnity

You will indemnify and hold harmless Reflexed and its affiliates, officers, directors, employees, and agents from claims, losses, and expenses (including legal fees) arising out of your content, your use of the Services, your breach of these Terms, or your violation of law.

22) Governing law

Delaware law governs, without regard to conflicts principles, except to the extent preempted by federal law.

23) Arbitration; class-action waiver; mass-filings protocol

Except for small-claims court, all disputes between you and Reflexed will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules and, where applicable, its Mass Arbitration Supplementary Rules. The Federal Arbitration Act governs. The seat is Delaware. The arbitrator decides arbitrability. Mass filings may be batched with bellwether proceedings and a process arbitrator; consumer fees follow AAA’s consumer schedule. If AAA is unavailable, JAMS may administer under its Mass Arbitration Procedures and Guidelines. You may opt out within 30 days of first acceptance by emailing support@reflexed.co with subject “Arbitration Opt-Out.” You waive the right to a jury trial or to participate in class actions.

24) Changes to Terms

We may update these Terms by posting a new effective date. For material changes, we will provide reasonable advance notice where required by law. Continued use after the effective date constitutes acceptance.

25) Order of precedence; survival; assignment; force majeure; severability

(a) If there is a conflict between these Terms and any policy, these Terms control unless the policy expressly states otherwise.

(b) Sections on fees, payments, IP, disclaimers, limits of liability, indemnity, arbitration, E-SIGN consent, DMCA, and survival provisions continue after termination.

(c) You may not assign these Terms without our written consent; we may assign in connection with a merger, acquisition, or asset sale.

(d) We are not liable for delays/failures beyond reasonable control.

(e) If any term is unenforceable, the remainder remains in effect.
